1996 5 series broken immobiliser

   I have a 525tds with a keypad immobiliser. the batteries fell out and since then it has not worked. The spare has been lost in the mists of time....
There is some debate as to whether the whole immobiliser/alarm must be replaced, or the code can be reset. 
Has anyone else any experience with this problem.
